​STATUTO

ART. 1 – DENOMINAZIONE
E’ costituito l’Istituto Calabrese di Politiche Internazionali, in seguito chiamato Istituto.


ART. 2 – SEDE
L’Istituto ha sede L’Istituto ha sede a Rende, in Via Po, 22; può istituire sedi distaccate in
tutto il mondo.


ART. 3 – FINALITÀ
L’Istituto ha come scopo la ricerca scientifica, la formazione, l’aggiornamento ed il
perfezionamento professionale e la promozione della formazione universitaria tesa alla promozione e
allo sviluppo dei territori in uno spirito internazionale volto all’instaurazione di un giusto e
pacifico assetto della comunità internazionale per contribuire ad accrescere la possibilità di
un’evoluzione di tutte le regioni del mondo verso forme di organizzazione sovranazionale, verso le
libertà democratiche, verso il progresso economico e la giustizia sociale.

L’Istituto svolge la sua attività in modo indipendente e libero da condizionamenti. L’Istituto si
propone altresì:

a. di promuovere e provvedere alla pubblicazione di studi su problemi politici, giuridici,
economici e sociali della comunità internazionale;
b. di promuovere attività di studio, di ricerca e di cultura nei campi delle scienze giuridiche,
ambientali, fisico- matematiche, naturali, delle tecno-scienze e delle scienze storiche, sociali e
umane, nonché delle politiche industriali e di commercio comunitario ed internazionali;
c. di provvedere, anche con pubblicazioni periodiche, alla documentazione ed alla discussione delle
attività delle organizzazioni internazionali, di curare la diffusione nazionale ed internazionale
delle correnti di pensiero e dei punti di vista, ufficiali, individuali e privati, che si
manifestino nelle regioni del mondo riguardo alle problematiche internazionali;
d. di organizzare convegni, seminari, conferenze e pubbliche discussioni per favorire la conoscenza
dei problemi internazionali e sostenere il formarsi nella pubblica opinione di un movimento in
favore dell’Istituto internazionale;
e. di favorire la preparazione ed il perfezionamento dei vari gruppi interessati, ed in particolare
dei giovani, sui problemi internazionali e delle organizzazioni internazionali attraverso corsi di
formazione e di specializzazione;
f. di favorire, anche con l’assegnazione di premi, borse di studio e sussidi, la ricerca
scientifica e l’approfondimento della conoscenza nel campo dell’organizzazione internazionale da
parte di studiosi e giovani;
g. di offrire agli organi competenti per le relazioni internazionali il proprio contributo di
studio e di documentazione; di collaborare con organizzazioni regionali, nazionali, estere ed
internazionali, aventi fini analoghi e di partecipare a federazioni, comitati ed altri enti
associativi a carattere internazionale;
h. di favorire e svolgere azioni di sostegno del sistema economico locale anche attraverso
iniziative internazionali volte a promuovere le capacità di globalizzazione delle imprese locali e
nel contempo a favorire gli investimenti nazionali ed internazionali sul territorio regionale
i. di svolgere funzioni di supporto e di promozione degli interessi generali dell’economia locale;
j. di offrire consulenza scientifica, programmi di ricerca, elaborazione di progetti e fornitura di
servizi ai propri soci nonché a soggetti pubblici e privati;
k. di favorire forme di sostegno e di promozione per giovani ricercatori e laureati;
l. per raggiungere le sue finalità, l’Istituto può anche aderire ad altri enti, in particolare a
carattere universitario o para-universitario;
m. l’Istituto opera in spirito di reciproca collaborazione con Università italiane ed estere, in
coerenza con la specialità istituzionale delle stesse, e con altri centri scientifico-culturali,
nazionali ed internazionali, rilevanti nell’ambito dei programmi dell’Istituto;
n. l’Istituto persegue la valorizzazione delle identità culturali e delle tradizioni locali, in
apertura alle culture
regionali, nazionali ed estere;


ART. 4 – NATURA E REGIME GIURIDICO
1. L’Istituto è costituito come associazione di carattere privato e non ha fini di lucro.
2. Con piena autonomia gestionale, amministrativa e di programmazione scientifica, esso orienta la
sua azione secondo specifici programmi pluriennali e bilanci annuali.


ART. 5 – SOCI
1. I soci dell’Istituto si distinguono in:
a. soci fondatori
b. soci sostenitori
c. soci ordinari
d. soci onorari

2. Sono soci fondatori, sostenitori e ordinari quegli Enti, pubblici o privati, o persone che
contribuiscono con quote annue non inferiori a quelle stabilite dall’Assemblea dei soci su proposta
del Consiglio Direttivo.
3. Sono soci onorari quegli Enti, pubblici o privati, o persone fisiche che il Consiglio Direttivo
propone come tali all’Assemblea dei soci. I soci onorari sono esclusi dal versamento delle quote di
adesione annuale.
4. Il Consiglio Direttivo si riserva la possibilità di valutare, ed eventualmente accettare, quote
associative che vengano corrisposte tramite mezzi differenti dal mero pagamento in danaro.
5. Le nuove richieste di adesione sono deliberate dal Consiglio Direttivo.


ART. 6 – ORGANI
Sono organi dell’Istituto:

a. l’Assemblea dei soci
b. il Consiglio Direttivo
c. il Presidente del Consiglio Direttivo
d. il Direttore
e. il Collegio sindacale
f. il Comitato Scientifico
g. la Consulta dei Direttori dei Laboratori e Centri di Ricerca
h. i Laboratori ed i Centri di Ricerca


ART. 7 – CONVOCAZIONE DELL’ASSEMBLEA
1. L’Assemblea dei soci si riunisce in seduta ordinaria o straordinaria. Alle sedute possono
partecipare, con funzione consultiva, i sostenitori, i direttori delle aree scientifiche ed i
membri del Comitato Scientifico.
2. L’Assemblea viene convocata dal Presidente del Consiglio Direttivo almeno una volta all’anno,
entro sei mesi dal termine dell’esercizio.

L’Assemblea viene inoltre convocata, sempre dal Presidente del Consiglio Direttivo, qualora ciò sia
richiesto, per iscritto e con l’indicazione dei punti dell’ordine del giorno, da:

a. almeno un terzo dei membri del Consiglio Direttivo, oppure
b. il Collegio sindacale, in materie di sua competenza, oppure
c. almeno un decimo dei soci.

3. La convocazione avviene in forma scritta; deve indicare l’ordine del giorno, il giorno, l’ora ed
il luogo della riunione e deve essere inviata ai soci almeno quindici giorni prima del giorno della
seduta.
4. L’Assemblea, per fondati motivi e per ragioni di funzionalità, può tenersi anche al di fuori
della sede dell’Istituto.


ART. 8 – COMPITI DELL’ASSEMBLEA DEI SOCI
1. All’Assemblea in seduta ordinaria spettano i seguenti compiti:
a. la nomina dei membri del Consiglio Direttivo e del Collegio sindacale e la fissazione delle
rispettive indennità;
b. l’approvazione del bilancio annuale con le relative relazioni, compresa la relazione
previsionale.
c. l’approvazione del regolamento interno dell’Istituto predisposto dal Consiglio Direttivo;
d. l’esame di tutti i punti dell’ordine del giorno della cui trattazione l’Assemblea è stata
incaricata dal Consiglio Direttivo o dal Collegio sindacale.
2. L’Assemblea in seduta straordinaria è competente per valutare:
a. modificazioni dello statuto;
b. scioglimento dell’associazione;
c. la perdita della qualità di socio, che è deliberata dall’Assemblea in seduta straordinaria su
proposta del Consiglio Direttivo con votazione a maggioranza dei due terzi dei presenti, avviene
nei casi di mancato pagamento della quota sociale, di espresso recesso e/o per gravi motivi lesivi
dell’immagine dell’Istituto o in violazione dello statuto;


ART. 9 – DIRITTO DI INTERVENTO E DELIBERAZIONI DELL’ASSEMBLEA
1. Ogni socio ha diritto ad un voto. Possono intervenire all’Assemblea i soci che siano in regola
con il versamento della quota di adesione.
2. La validità delle deliberazioni dell’Assemblea è subordinata alla presenza della metà più uno
dei soci. In seconda convocazione la validità delle deliberazioni dell’Assemblea è subordinata alla
presenza di almeno un terzo dei soci.
3. L’Assemblea in seduta ordinaria delibera a maggioranza semplice; in seduta straordinaria a
maggioranza qualificata di due terzi dei presenti. In materia di scioglimento dell’associazione,
l’Assemblea delibera col consenso di tre quarti dei soci.
4. Ogni socio che abbia diritto di intervento all’Assemblea può farsi rappresentare, per delega
scritta, da altra persona.

La partecipazione di persone giuridiche avviene tramite il legale rappresentante o procuratore,
salvo delega di questi secondo le predette disposizioni. La stessa persona non può rappresentare in
Assemblea più di un socio, esprimendo al massimo due voti, compreso il proprio.


ART. 10 – SVOLGIMENTO DELL’ASSEMBLEA
1. Il Presidente del Consiglio Direttivo presiede l’Assemblea. In caso di assenza o di impedimento
di questi, la seduta è presieduta dal Vicepresidente o, in assenza di questo, dal più anziano dei
soci presenti.
2. Su proposta del Presidente l’Assemblea nomina un segretario e, ove occorra, almeno due
scrutatori.
3. Per ogni riunione dell’Assemblea va redatto, entro un mese, il verbale firmato dal Presidente e
dal segretario. Ogni socio ha diritto di prendere visione di questi verbali presso la sede
dell’Istituto.


ART. 11 – CONSIGLIO DIRETTIVO
1. Il Consiglio Direttivo è composto per un quarto fino a tre membri dell’Associazione Magellano
Project; per un quarto fino a tre membri da esponenti delle Università o Facoltà aderenti che ne
facciano richiesta; tre membri di cui due rappresentanti di enti locali e uno di amministrazioni
sovra-comunale; da un membro rappresentante di un’organizzazione internazionale; da un membro
rappresentante gli enti privati.
2. Per quanto attiene le elezioni dei membri appartenenti alle aree di afferenza universitaria,
sovra-comunali e comunali, organizzazioni internazionali, ed enti privati, ogni area indicherà
collegialmente l’elenco dei componenti di riferimento all’interno del Consiglio Direttivo
prevedendone una eventuale turnazione annuale.
3. Il numero di membri del Consiglio Direttivo può variare in ragione delle necessità di
allargamento dell’Istituto, non superando, in ogni caso il numero di 12 membri.
4. I soci onorari possono partecipare alle sedute del Consiglio Direttivo, senza diritto di voto.
5. Il Direttore e il Presidente del Comitato Scientifico partecipano alle sedute del Consiglio
Direttivo senza diritto di voto;
6. E’ prevista la partecipazione con delega scritta.
7. Il Consiglio Direttivo dura in carica 5 anni ed è rieleggibile.



ART. 12 – PRESIDENTE E VICEPRESIDENTE
1. Il Presidente è il legale rappresentante dell’Istituto ed è eletto dal Consiglio Direttivo tra
i propri membri.
2. Il Consiglio Direttivo elegge altresì il Vicepresidente fra propri membri. Il Vicepresidente
assume gli obblighi ed i doveri del Presidente in caso di assenza temporanea o di impedimento di
quest’ultimo. Qualora l’impedimento fosse permanente, si procederà all’elezione di un nuovo
Presidente.
3. Il Presidente elabora le linee guida per l’assetto scientifico e gestionale dell’Istituto. Il
Presidente può prendere decisioni urgenti o svolgere attività improrogabili ma dovrà sottoporle al
Consiglio nella prima seduta utile per la ratifica .
4. Il Presidente può, altresì, nominare suoi delegati su specifiche aree di competenza. I delegati
partecipano al Consiglio Direttivo senza diritto di voto.
5. Alla scadenza del mandato ed in caso di decadenza del Consiglio Direttivo, il Presidente rimane
in carica solo ed esclusivamente per l’ordinaria amministrazione e sino alle elezioni per il
rinnovo della carica.




ART. 13 – DIRETTORE
1. Il Direttore si pone quale vertice professionale dell’Istituto e attua le linee guida per
l’assetto scientifico e gestionale. E’ competente, su delega da parte del Consiglio Direttivo per
l’ordinaria amministrazione dell’Istituto, tranne nei casi in cui la legge, il presente statuto o
il regolamento interno la riservino esplicitamente ad altri organi.
2. Su proposta del Presidente, il Consiglio Direttivo nomina o revoca il Direttore dell’Istituto,
ne stabilisce il relativo compenso e la durata dell’incarico, che non può essere superiore a tre
anni. L’incarico del Direttore è rinnovabile.
3. Il Direttore risponde del proprio operato direttamente al Presidente, che informa periodicamente
il Consiglio Direttivo per le opportune valutazioni.
4. Di concerto con il Consiglio Direttivo il Direttore può delegare competenze esecutive in singoli
settori anche a persone esterne.
5. In caso di assenza o impedimento del Direttore, per un periodo inferiore a 30 giorni, le
relative funzioni sono temporaneamente affidate al Presidente. Per un periodo superiore ai 30
giorni, il Consiglio Direttivo su proposta del Presidente può nominare un sostituto o, ove ne
ricorrano le condizioni, procedere alla revoca del Direttore e quindi ad una nuova nomina.


ART. 14 – COMITATO SCIENTIFICO
1. Il Comitato Scientifico è nominato dal Consiglio Direttivo tra soggetti designati
prevalentemente all’interno delle Università e Facoltà aderenti, e dura in carica cinque anni.
2. Possono essere chiamate a far parte del nuovo Comitato Scientifico persone di alta
qualificazione scientifica su proposta del Comitato Scientifico in carica, che si esprime in merito
con maggioranza dei 2/3 dei presenti, che rispondano per le loro specifiche caratteristiche agli
scopi e alle esigenze dell’Istituto. I membri possono essere riconfermati. Al presidente uscente
del Comitato Scientifico è riconosciuto un diritto di proposta, di concerto con il Presidente del
Consiglio Direttivo, per la composizione del nuovo Comitato.
3. Il Comitato Scientifico elegge al suo interno un presidente che partecipa alle sedute del
Consiglio Direttivo.
4. Il Comitato Scientifico svolge le seguenti funzioni:
a. elabora le linee programmatiche in merito all’attività scientifica dell’Istituto;
b. presenta proposte ed esamina programmi e progetti scientifici e di ricerca;
c. svolge attività di consulenza per il Consiglio Direttivo, per il Presidente e per il Direttore
su tutte le questioni di carattere tecnico-scientifico;
d. di concerto con il Presidente e con il Direttore, propone la nomina dei Direttori dei Laboratori
e dei Centri di Ricerca, e dei membri dei corrispettivi Consigli Scientifici.
5. Il funzionamento del Comitato Scientifico è stabilito da apposito regolamento interno approvato
dallo stesso comitato.
6. I membri del Comitato Scientifico hanno diritto al rimborso delle spese sostenute nello
svolgimento delle loro funzioni. Il Consiglio Direttivo può prevedere forme di retribuzione per
l’attività svolta.




ART. 16 – CONSULTA DEI DIRETTORI DEI CENTRI
1. Il Presidente si avvale della Consulta dei direttori dei Laboratori e dei Centri al fine di
garantire il coordinamento delle attività di studio e ricerca facenti capo all’Istituto.


ART. 17 – LABORATORI E CENTRI DI RICERCA
1. L’Istituto, nell’ambito delle proprie finalità, può istituire Laboratori e Centri di Ricerca e
di studio dotati di autonomia culturale e scientifica.
2. I Laboratori ed i Centri, disciplinati con appositi regolamenti dall’Istituto secondo criteri
organizzativi tendenzialmente omogenei, sono articolazioni dell’Istituto senza personalità
giuridica ed operano sulla base di deleghe amministrativo-gestionali del Consiglio Direttivo.
3. Essi hanno il compito di promuovere e realizzare attività di ricerca, di studio e culturali,
anche attraverso piani di sviluppo comune, in spirito di reciprocità, con istituti e strutture
accademiche e di ricerca, enti pubblici, privati – nazionali ed internazionali.


ART. 18 – CONSIGLI SCIENTIFICI
1. Il Consiglio Direttivo nomina un Consiglio Scientifico per ciascun Laboratorio e Centro di
Ricerca.
2. Il Consiglio scientifico è organo di consulenza del Consiglio Direttivo e del Presidente
dell’Istituto ed in questa veste fornisce pareri obbligatori, sia sotto il profilo qualitativo che
economico – finanziario, sui programmi annuali e pluriennali proposti dal Direttore del Centro,
nonché sulle loro significative variazioni.
3. Esso è altresì organo di valutazione dell’attività di ricerca svolta dal Centro ed è organo di
verifica in ordine allo stato di avanzamento delle ricerche ed al conseguimento degli obiettivi
proposti. In tale veste il Consiglio scientifico riferisce, tramite il suo Presidente, al Consiglio
Direttivo ed al Presidente dell’Istituto.
4. Il Consiglio scientifico è composto da esperti, di comprovata esperienza nei settori di
interesse del Centro, in numero non inferiore a 3 e di norma non superiore a 12. Essi sono nominati
dal Consiglio Direttivo su proposta del Presidente dell’Istituto.
5. Ogni Consiglio elegge nel suo seno il proprio Presidente.




ART. 19 – ORGANI DEI LABORATORI E DEI CENTRI DI RICERCA
1. Sono organi dei Centri, il Direttore ed il Comitato consultivo, laddove deliberato dal Consiglio
Direttivo.
2. In considerazione delle specificità e delle tradizioni dei singoli Laboratori e Centri, il
Consiglio Direttivo può istituire presso ciascun Centro, con modalità da definire mediante
regolamento, un Comitato direttivo di nomina del Direttore, con compiti di coordinamento e
promozione delle attività scientifiche del Centro stesso.




ART. 20 – DIRETTORI DEI LABORATORI E DEI CENTRI DI RICERCA
1. Il Direttore di ciascun Laboratorio o Centro è nominato dal Consiglio Direttivo. La nomina
avviene all’interno di una rosa di nomi proposta al Consiglio Direttivo dal Presidente, il quale
preventivamente acquisisce anche motivate segnalazioni del Comitato direttivo e il Comitato
consultivo.
2. Il Direttore propone i progetti, della cui attuazione è responsabile; gestisce i beni e gli
strumenti affidati al Centro per l’esercizio della sua attività e di essi è parimenti responsabile;
coordina l’attività di tutto il personale messo a disposizione del Centro.
3. Il Direttore è tenuto a sottoporre programmi di ricerca, previsioni di bilancio annuali e
pluriennali, relazioni consuntive e relativi pareri del Comitato consultivo (laddove previsto)
all’approvazione del Consiglio Direttivo, tramite il Presidente dell’Istituto.
4. L’incarico di Direttore è incompatibile con quello di membro del Consiglio scientifico.


ART. 21 – COMITATI CONSULTIVI DEI LABORATORI E DEI CENTRI DI RICERCA
1. Il Comitato consultivo, laddove deliberato dal Consiglio Direttivo, è organo di consultazione
obbligatoria del Direttore del Laboratorio o Centro. Esso è composto da un numero di membri non
inferiore a 3 e non superiore a 7, eletti dal personale addetto alla ricerca, con modalità da
definirsi mediante apposito regolamento.
2. Il Comitato consultivo esprime al Direttore pareri obbligatori sui progetti di ricerca, le
previsioni di bilancio annuali e pluriennali e le relazioni consuntive. Il Direttore, qualora si
discosti dal parere del Comitato, motiva la sua decisione nei termini previsti dal regolamento.


ART. 22 – COLLEGIO SINDACALE
1. Il Collegio Sindacale, laddove nominato, si compone di almeno tre membri, non soci
dell’Istituto, di nomina assembleare e dura in carica quattro anni. I sindaci eleggono, tra loro,
un presidente, che deve essere iscritto all’albo dei revisori dei conti.
2. Il Collegio controlla la contabilità e l’intera gestione finanziaria dell’Istituto.


ART. 23 – PATRIMONIO E MEZZI
1. Il patrimonio dell’Istituto è costituito dai beni mobili ed immobili, acquisiti a qualsiasi
titolo e anche da lasciti e donazioni;
2. Le rendite dell’Istituto sono costituite:
a. dai frutti del patrimonio;
b. dalle quote associative dei soci fondatori, sostenitori e ordinari;
c. dai contributi straordinari dei soci, di persone ed enti;
d. dalle vendite e dai proventi conseguiti a fronte delle attività dell’Istituto.


ART. 24 – ESERCIZIO FINANZIARIO
1. L’anno sociale e l’esercizio finanziario iniziano con il 1° gennaio e terminano il 31 dicembre
di ciascun anno.


ART. 25 – BILANCIO
1. Il Consiglio Direttivo redige ed approva il bilancio preventivo e redige il bilancio di
esercizio costituito dallo stato patrimoniale, dal conto economico e dalla nota integrativa. E’
inoltre corredato da una relazione degli amministratori sulla situazione dell’Istituto e
sull’andamento della gestione, nel suo complesso e nei vari settori in cui essa ha operato.
2. Il bilancio deve essere inoltrato dal Consiglio Direttivo al Collegio sindacale, con la
relazione di accompagnamento, almeno trenta giorni prima di quello fissato per la riunione
dell’Assemblea che deve discuterlo.
3. Il Collegio sindacale predispone le proprie osservazioni e le proposte in ordine al bilancio ed
alla sua approvazione non meno di quindici giorni prima di quello fissato per l’assemblea che deve
discuterlo.
4. Il bilancio deve restare depositato in copia nella sede dell’Istituto, insieme con la relazione
degli amministratori e dei sindaci, durante i quindici giorni che precedono la riunione
dell’assemblea. I soci possono prenderne visione presso la sede dell’Istituto.


ART. 26 – SCIOGLIMENTO
1. In caso di scioglimento dell’Istituto il patrimonio sarà devoluto ad altra associazione con
finalità analoghe, salvo diversa disposizione di legge.
2. Con la delibera di scioglimento l’Assemblea determina le modalità della liquidazione e nomina
uno o più liquidatori, fissando i relativi poteri.


ART. 27 – COLLEGIO ARBITRALE

1. Tutte le controversie tra l’Istituto ed i soci, gli amministratori, i revisori contabili ed i
liquidatori riguardanti l’esecuzione e l’interpretazione del presente statuto saranno affidate per
la deliberazione alla Camera Arbitrale della Camera di commercio, industria, artigianato e
agricoltura di Cosenza a norma del relativo Regolamento arbitrale, e precisamente alla decisione
inappellabile di un Collegio arbitrale, composto di tre Arbitri, che deciderà secondo il
procedimento arbitrale stabilito nel Regolamento e secondo equità.
2. Gli Arbitri saranno designati secondo le modalità previste nel predetto Regolamento arbitrale
della Camera Arbitrale della Camera di commercio, industria, artigianato e agricoltura di Cosenza.

ART. 1 – NAME
It ‘consists of the Institute of International Politics Calabrese, later called the Institute.

ART. 2 – REGISTERED

ART. 3 – PURPOSE
The Institute aims scientific research, training, upgrading and retraining and the promotion of university education aimed at the promotion and development of the territories in an international spirit face to the establishment of a just and peaceful attitude of the community internationally to help increase the possibility of an evolution of all regions of the world towards forms of supranational organization, towards democratic freedoms, towards economic progress and social justice.
The Institute operates independently and free from conditioning.

The Institute also aims:

a. to promote and ensure the publication of studies on political, legal, economic and social aspects of the international community;

b. to promote study, research and culture in the fields of legal sciences, environmental, physical and mathematical, natural, of techno-science and historical sciences, social and human, as well as industrial policies and EU trade and international;

c. to provide, even with periodic publications, documentation, and discussion of the activities of international organizations, to ensure that national and international diffusion of the currents of thought and points of view, official, individual and private, occurring in regions of the world about international issues;

d. to organize conferences, seminars, lectures and public discussions to promote knowledge of international problems and support the formation of a movement in public opinion in favor of the International Institute;

and. to facilitate the preparation and finalization of the various interested groups, and particularly young people, on international problems and international organizations through training and specialization;

f. to promote, also with the award of prizes, scholarships and grants, scientific research and the deepening of knowledge in the field of the international organization on the part of scholars and young people;

g. provide to the competent bodies for international relations contribute to the study and documentation; to collaborate with regional, national, foreign and international, with similar purposes, and join federations, committees and other bodies associative international character;

h. to promote and carry out supporting the local economy through international initiatives to promote the skills of globalization of local businesses and at the same time to encourage domestic and international investment in the region

i. performing functions of support and promotion of the general interests of the local economy;

j. to provide scientific advice, research programs, development of projects and the provision of services to its members as well as to public and private;

k. to encourage forms of support and promotion for young researchers and graduate students;

l. to achieve its objectives, the Institute may also attach to other entities, in particular of a university or para-university;

m. The Institute works in a spirit of mutual cooperation with Italian and foreign universities, in line with the specialty of the same institution, and other scientific and cultural centers, national and international relevant part of the programs of the Institute;

n. The Institute actively supports the promotion of cultural identities and traditions, opening the regional cultures, domestic and foreign;

ART. 4 – NATURE AND LEGAL SYSTEM

1. The Institute is an association of private and not-for-profit organization.

2. With full management autonomy, administrative and scientific programming, it directs its activities according to specific multi-annual programs and annual budgets.

ART. 5 – MEMBERS

1. The members of the Institute are divided into:

a. founders

b. supporting members

c. ordinary members

d. Honorary members

2. The founding members, supporters and ordinary those entities, public or private, or people who contribute annual installments of not less than those established by the General Meeting on the proposal of the Board of Directors.

3. Honorary members are those organizations, public or private, or individuals such as the Board of Directors proposes to the AGM. Honorary members shall be excluded from the payment of annual membership fees.

4. The Board of Directors reserves the right to review and, if accepted, membership fees to be paid by means different from the mere payment of cash.

5. New applications for membership are approved by the Board of Directors.

ART. 7 – CALL OF

1. The General Assembly shall meet in ordinary or extraordinary. The sessions can participate, in an advisory, the supporters, the directors of scientific areas and the members of the Scientific Committee.

2. The Assembly is convened by the Chairman of the Board of Directors at least once a year, within six months of the end of the year.

The Assembly is also called, always by the President of the Executive Council, if so requested, in writing, stating the agenda items, by:

a. at least one third of the members of the Executive Council, or

b. the Board of Auditors, in matters within its competence, or

c. at least one-tenth of the members.

3. The call is in writing; must indicate the order of the day, the date, time and place of the meeting and must be sent to shareholders at least fifteen days before the day of the session.

4. The Assembly, for serious reasons and for reasons of functionality, it can also be held outside the headquarters of the Institute.

ART. 8 – DUTIES OF THE MEMBERS

1. Assembly ordinary meeting has the following tasks:

a. the appointment of members of the Board and the Board of Auditors and the fixing of their compensation;

b. the approval of the annual budget with the related reports, including the report forecast.

c. the approval of the Institute’s internal rules prepared by the Board of Directors;

d. the examination of all the points of the agenda of the Assembly whose treatment has been appointed by the Board or by the Statutory Auditors.

2. The Assembly in special session is responsible for assessing:

a. amendment of the statutes;

b. dissolution of the association;

c. the loss of membership, which is approved by an extraordinary meeting on the proposal of the Board of Directors by a majority vote of two-thirds of those present, occurs in cases of non-payment of dues, espresso withdrawal and / or for serious reasons harmful to the image of the Institute or in violation of the Statute;

ART. 9 – RIGHT TO PARTICIPATE AND RESOLUTIONS OF

1. Each member is entitled to one vote. May attend the Meeting the shareholders who are in good standing with the payment of the membership fee.

2. The validity of the resolutions of the Assembly is subject to the presence of half plus one of the members. In the second call the validity of the resolutions of the Assembly is subject to the presence of at least one third of the members.

3. The Assembly in ordinary session acting by a simple majority; in special session by a qualified majority of two thirds of those present. Relating to the dissolution of the association, the shareholders decide with the consent of three-quarters of the members.

4. Each shareholder entitled to attend the Meeting may be represented, by written proxy, by another person.

The participation of legal persons is via the legal representative or attorney, unless delegation of these according to the above provisions. The same person can not represent more than one partner in the Assembly, expressing more than two votes, including his own.

ART. 10 – RUNNING OF THE

1. The President of the Board presides over the Assembly. In case of absence or impediment of the latter, the meeting shall be chaired by the Vice President or, in the absence of this, by the oldest of the members present.

2. At the proposal of the President the Assembly shall appoint a secretary and, where appropriate, at least two scrutineers.

3. For each meeting of the Assembly shall be drawn up within one month, the minutes signed by the President and the Secretary. Each member has the right to inspect these records at the Institute.

ART. 11 – BOARD OF DIRECTORS

1. The Board of Directors is composed of a quarter to three members of the Magellan Project; for a quarter to three members from the participating University or Faculty members who request it; three members, including two representatives of local authorities and one of supra-municipal administrations; by a representative member of an international organization; one member representing private entities.

2. As regards the election of the members belonging to the areas a part of the university, municipal and supra-municipal, international organizations, and private entities, each area will show the list of collegiate reference components within the Board of Directors providing for a possible shifts year.

3. The number of members of the Board of Directors may vary because of the need enlargement of the Institute, not exceeding, in any case, the number of 12 members.

4. Honorary members may attend meetings of the Board of Directors, without voting rights.

5. The Director and the Chairman of the Scientific Committee attend meetings of the Executive Committee without the right to vote;

6. ‘The participation by written proxy.

7. The Board of Directors remains in office for five years and is re-elected.

ART. 12 – PRESIDENT AND VICE-PRESIDENT

1. The President is the legal representative of the Institute and is elected by the Board of Directors from among its members.

2. The Board of Directors shall also elect the Vice President from its members. The Vice-President shall assume the obligations and duties of the President in case of temporary absence or inability to attend. If the impediment was permanent, we will proceed to the election of a new President.

3. The President shall develop guidelines for the structure and scientific management of the Institute. The President may take urgent decisions or activities can not be delayed, but will have to submit to the Council at the first meeting for ratification.

4. The President may also appoint its delegates on specific areas of expertise. The delegates participating in the Board of Directors without voting rights.

5. When the mandate and in case of forfeiture of the Board of Directors, the Chairman shall hold office only and exclusively for routine administration and until the elections for the renewal of the charge.

ART. 13 – DIRECTOR

1. The Director of the Institute is acting as a top professional and implements the guidelines for attitude and scientific management. And ‘jurisdiction, as delegated by the Board of Directors for the ordinary administration of the Institute, except in cases where the law, this Statute or Rules expressly reserve the other organs.

2. At the proposal of the President, the Executive Director of the appointment or termination, shall determine the remuneration, and the duration of which can not be more than three years. The appointment of the Director is renewable.

3. The Director responsible for his work directly to the President, who regularly informs the Board of Directors for evaluation.

4. In consultation with the Executive Director may delegate powers in individual sectors also to people outside.

ART. 14 – SCIENTIFIC COMMITTEE

1. The Scientific Committee is appointed by the Board of Directors of the designated primarily within the university and faculty members, and remains in office for five years.

2. They can be called to be part of the new Scientific Committee persons of high scientific qualification on a proposal of the Scientific Committee in charge, which is expressed on with a 2/3 majority of those present, that respond to their specific characteristics and purposes needs of the Institute. Members may be reappointed. The outgoing President of the Scientific Committee has recognized the right to propose, in consultation with the Chairman of the Board, the composition of the new Committee.

3. The Scientific Committee shall elect a president who will participate in the meetings of the Board of Directors.

4. The Scientific Committee has the following functions:

a. draw up the guidelines on the scientific activities of the Institute;

b. submit proposals and examines programs and scientific projects and research;

c. provides consulting to the Board of Directors, the Chairman and the Director on all matters of a technical-scientific;

d. in consultation with the Chairman and the Director proposes the appointment of heads of Laboratories and Research Centers, and the members of the Scientific Councils consideration.

5. The operation of the Scientific Committee is established by internal regulations approved by the committee.

6. The members of the Scientific Committee shall be entitled to reimbursement of expenses incurred in the performance of their duties. The Board of Directors may provide forms of remuneration for their work.

ART. 17 – LABORATORIES AND RESEARCH CENTERS

1. The Institute, as part of their purpose, establish laboratories and research centers and study with scientific and cultural autonomy.

2. Laboratories and Centers, which are governed by specific regulations by the Institute in accordance with organizational policies tend to be homogeneous, the Institute joints are unincorporated and operate on the basis of administrative and managerial powers of the Board of Directors.

3. They have a duty to promote and carry out research, educational, or cultural, including plans for joint development, in a spirit of reciprocity, with institutions and structures research and academic, public, private – national and international.

ART. 18 – SCIENTIFIC ADVICE

1. The Board of Directors appoints a Scientific Council for each Laboratory and Research Center.

2. The Scientific Council is advisory body of the Board and President of the Institute and in this capacity provides mandatory opinions, both in terms of quality and economic – financial, on annual and multiannual programs proposed by the Director of the Center, as well as on their significant changes.

3. It is also evaluation body of research conducted by the Center and is reviewing body in order to the advancement of research and to the achievement of the goals. In this capacity, the Scientific Council refers, through its Chairman, to the Board of Directors and the Chairman of the Institute.

4. The Scientific Council is composed of experts with proven experience in the areas of interest of the Centre, in not less than three, and usually not more than 12. They are appointed by the Executive Board on a proposal of the President of the Institute.

5. Each Council elects its President.

ART. 19 – BODIES OF LABORATORIES AND RESEARCH CENTRES

1. The bodies of the centers, the Director and the Advisory Committee, if approved by the Board of Directors.

2. In view of the specific characteristics and traditions of individual laboratories and centers, the Board may set up at each center, with arrangements to be established by regulation, a Steering Committee to appoint the Director, responsible for coordination and promotion of scientific activities of the Centre same.

ART. 20 – DIRECTORS OF LABORATORIES AND RESEARCH CENTRES

1. The Director of each laboratory or center is appointed by the Executive Council. The appointment is made in a list of names proposed to the Executive Council by the President, who previously also acquires a circumstantial report of the Steering Committee and the Advisory Committee.

2. The Director proposes projects, the implementation of which is responsible; manages the assets and tools assigned to the Centre for the exercise of its activity and of them is equally responsible; coordinates the activities of all the staff made available to the Centre.

3. The Director is required to submit research programs, budget estimates annual and multi-annual summary report and relevant opinions of the Advisory Committee (where required) the approval of the Executive Council, through the President of the Institute.

4. The position of Director is incompatible with membership of the Scientific Council.

ART. 21 – ADVISORY COMMITTEES OF LABORATORIES AND RESEARCH CENTRES

1. The Committee shall, if approved by the Board of Directors, is a body of mandatory consultation of the Director of the Laboratory, or Center. It is composed of a number of members not less than 3 and not more than 7 elected by the research staff, with procedures to be determined by special regulations.

2. The Advisory Committee to the Director-binding opinions on research projects, budget estimates and annual and multi-annual summary report. The Director, if it differs from the opinion of the Committee, the reasons for its decision within the period prescribed by the regulations.

ART. 22 – AUDITORS

1. The Board of Auditors, if appointed, shall consist of at least three members, non-members of the Institute, appointed by the shareholders and holds office for four years. The auditors shall elect among themselves a chairman who shall be a registered auditors.

2. The Board monitors the entire accounting and financial management of the Institute.

ART. 23 – PROPERTY AND EQUIPMENT

1. Capital Institute is made up of movable and immovable property acquired for any reason and also by bequests and donations;

2. The income of the Institute shall consist of:

a. from the fruits of the estate;

b. membership fees of the founding members, supporters and ordinary;

c. the extraordinary contributions of the members, of people and institutions;

d. sales and revenues received in respect of the activities of the Institute.

ART. 24 – FINANCIAL

1. The fiscal year and the financial year beginning with January 1 and ending December 31 of each year.

ART. 25 – FINANCIAL STATEMENTS

1. The Board of Directors prepares and approves the budget and prepares financial statements comprise the balance sheet, income statement and the notes. It ‘also accompanied by a directors’ report on the situation of the Institute and on operations as a whole and in the various fields in which it has operated.

2. The budget must be submitted by the Executive Board of Statutory Auditors, with the accompanying report, at least thirty days before the date set for the meeting of the Assembly shall discuss it.

3. The Board of Auditors shall prepare its comments and proposals regarding the budget and its approval not less than fifteen days prior to the date of the meeting is to discuss that.

4. </ strong> The budget must be submitted in copy at the Institute, together with the report of the directors and auditors, during the two weeks preceding the meeting of the Assembly. The members may be inspected at the offices of the Institute.

ART. 26 – DISSOLUTION

ART. 27 – ARBITRATION

1. All disputes between the Institute and the shareholders, directors, auditors and liquidators concerning the execution and interpretation of this statute will be responsible for the resolution of the Chamber of Arbitration of the Chamber of Commerce, Industry, Crafts and agriculture Cosenza under its arbitration Rules, namely the final decision of an arbitration Committee, consisting of three arbitrators, who will decide according to the arbitration procedure established in the Regulations and in equity.

2. The arbitrators will be appointed in the manner prescribed in the aforesaid Rules of Arbitration of the Chamber of Arbitration of the Chamber of Commerce, Industry, Trade and Agriculture of Cosenza.
